These Supply of Services Terms (“Terms”) govern the provision of services by Ingenix Systems Ltd. (“we”, “us”, “our”) to clients (“you”, “your”). By engaging us for any of the services described below, you agree to these Terms.
- Scope of Services
We provide the following services:
- Software Development – design, coding, testing, and implementation of custom software solutions.
- Infrastructure Support – installation, maintenance, and troubleshooting of IT infrastructure.
- Network Security – deployment of measures to protect systems against unauthorised access, threats, and vulnerabilities.
- Configuration Management – managing changes in systems and software environments to ensure stability and efficiency.
Each engagement may be further defined in a written proposal, statement of work, or service order agreed with you.
- Client Responsibilities
You agree to:
- Provide accurate information and timely instructions necessary for us to deliver the services.
- Ensure that your systems, facilities, and personnel are available for collaboration when required.
- Obtain any licences, consents, or permissions necessary for us to access and work with your systems.
- Use the services in a lawful manner and not for any improper purpose.
- Service Standards
We will:
- Perform the services with reasonable skill, care, and diligence expected of a professional provider.
- Endeavour to meet agreed timelines, though we are not responsible for delays caused by factors outside our control.
- Apply reasonable security practices in delivering network and system-related services.
- Fees and Payment
Fees for services will be set out in the relevant agreement or proposal. Unless otherwise specified:
- Fees are payable within 30 days of invoice.
- Late payments may incur interest at the statutory rate under Hong Kong law.
- We may suspend services if payments remain overdue.
- Intellectual Property
Unless otherwise agreed in writing:
- We retain ownership of all pre-existing intellectual property, tools, or methodologies used in providing services.
- Deliverables created under a specific engagement will be transferred to you upon full payment, subject to any licensing terms set out in the relevant agreement.
- Confidentiality
Both parties agree to keep confidential all non-public information received in the course of the services, except where disclosure is required by law or consent is given. - Data Protection
Where services involve access to personal data, we will handle such data in accordance with applicable data protection laws in Hong Kong. Further details are set out in our Privacy Policy. - Limitation of Liability
We are not liable for any indirect, incidental, or consequential losses arising out of the services. Our total liability for direct damages will not exceed the amount paid by you for the specific services giving rise to the claim, except where prohibited by law. - Termination
Either party may terminate the engagement by written notice if the other materially breaches these Terms and fails to remedy the breach within 30 days. We may also terminate where services are suspended due to non-payment. - Force Majeure
We are not responsible for delays or failures in performance caused by events beyond our reasonable control, including natural disasters, strikes, technical failures, or government restrictions. - Governing Law and Jurisdiction
These Terms are governed by the laws of Hong Kong. Any disputes shall be subject to the exclusive jurisdiction of the courts of Hong Kong. - Contact Information
